Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you”) and Folio Insights LLC, a Utah limited liability company (“Folio,” “we,” “us”), governing your access to and use of the Folio website, API, data, and related services (the “Service”). By creating an account, requesting an API key, or accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & business use

You must be at least 18 years old and able to form a binding contract. The Service is intended for business, professional, research, and development use. You represent that you are accessing the Service for such purposes and not as a consumer for personal, family, or household use. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.

2. The Service

Folio provides programmatic access to US public-record intellectual-property and corporate data — including trademarks, patent and trademark assignments, TTAB proceedings, and state corporate-registry records — via an HTTP API, together with related documentation and tools. The data is derived from third-party and government sources such as the United States Patent and Trademark Office (USPTO), courts, and state registries. Folio is an independent service and is not affiliated with, authorized by, or endorsed by the USPTO or any government agency.

3. Accounts & API keys

You are responsible for all activity under your account and for keeping your API key confidential. Do not share your key or expose it in client-side code or public repositories. Notify us promptly of any unauthorized use. We may issue, rotate, suspend, or revoke keys, and we may suspend or terminate accounts, for violation of these Terms, suspected abuse, security risk, or non-payment.

You are solely responsible for your applications, systems, and end users that access the Service through your account or API keys, and for ensuring their compliance with these Terms.

We may suspend or terminate access for any actual or suspected violation.

5. Data sources, accuracy & your duty to verify

The Service provides access to data sourced from third-party and government databases. Such source data may be incomplete, inaccurate, out of date, delayed, mis-indexed, or subject to later revision by the originating authority.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENCY, OR TIMELINESS OF ANY DATA MADE AVAILABLE THROUGH THE SERVICE. THE SERVICE IS AN INFORMATION-RETRIEVAL TOOL AND IS NOT A SUBSTITUTE FOR AN OFFICIAL SEARCH OF, OR A CERTIFIED RECORD FROM, THE ORIGINATING AUTHORITY. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY DATA BEFORE RELYING ON IT, AND WE ARE NOT LIABLE FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON DATA OBTAINED THROUGH THE SERVICE. Verify critical results against official USPTO and other primary sources.

6. Not legal or professional advice

THE SERVICE AND ALL DATA, RESULTS, AND OUTPUTS ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE, AND ARE NOT A TRADEMARK CLEARANCE, FREEDOM-TO-OPERATE, OR INFRINGEMENT OPINION. Folio is not a law firm and does not provide legal services. Use of the Service does not create an attorney-client relationship, a fiduciary relationship, or any other professional or advisory relationship between you and Folio. Nothing in the Service is a substitute for the advice of a qualified attorney or other licensed professional; consult one regarding your specific situation before taking any action.

7. Intellectual property & government-source data

The underlying public records made available through the Service are derived from public and government sources and are generally works of the US or state governments that are not owned by Folio. Folio claims no ownership of, and grants you no rights in, those underlying public records beyond the access provided through the Service. As between you and Folio, Folio owns all rights in the Service, the API, its software, and the selection, arrangement, formatting, and enrichments it provides. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service. No other rights are granted. You are responsible for complying with any terms imposed by the originating data sources.

8. Feedback

If you provide suggestions, ideas, or other feedback about the Service, you grant Folio a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use and exploit it for any purpose, without restriction, attribution, or compensation, and you represent that it is not subject to any third-party rights.

9. Fees, billing & subscriptions

Paid plans are billed in advance on a recurring (e.g., monthly) basis through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel. You may cancel at any time through the account management page; cancellation takes effect at the end of the then-current billing period, and you retain access until then. Except as required by law or expressly stated, fees are non-refundable, including for partial billing periods or unused capacity. Fees are exclusive of taxes, duties, and similar governmental assessments (other than taxes on our income), which you are responsible for. If a charge fails or is reversed (including by chargeback), we may suspend or downgrade your access until the amount due is paid, and you remain responsible for all fees accrued before suspension or termination. We may change pricing or plan features prospectively, with notice to active subscribers; changes take effect on your next billing cycle.

10. Service availability & changes

We do not guarantee any particular level of availability or uptime and provide no service-level commitment except as expressly set out in a separate written SLA. We may modify, suspend, rate-limit, deprecate, or discontinue the Service or any feature, endpoint, or data source, in whole or in part, at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

11. Disclaimer of warranties

THE SERVICE AND ALL DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. FOLIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FOLIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FOLIO’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FOLIO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. You acknowledge that the disclaimers and limitations in these Terms are a fundamental basis of the bargain and that, absent them, the fees and terms of the Service would be different. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

13. Indemnification

You will indemnify, defend, and hold harmless Folio and its personnel from and against any and all third-party claims, demands, suits, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Service or data; (b) your violation of these Terms or any applicable law; or (c) your violation of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification (without relieving your indemnification obligations), and you will cooperate with our defense. You may not settle any such matter without our prior written consent.

14. Term & termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time for violation of these Terms, suspected abuse, non-payment, legal requirement, or discontinuation of the Service. Upon termination, your license to access and use the Service ends, you must stop using your API keys, and we may delete your account and associated data. Termination does not relieve you of any obligation to pay fees accrued before termination. Sections that by their nature should survive termination (including Sections 4–8, 11–17, and 19, and accrued payment obligations under Section 9) survive.

15. Governing law & dispute resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Before bringing any claim, you agree to first contact us at support@folioapi.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. The exclusive venue for any dispute is the state and federal courts located in Salt Lake County, Utah, and each party consents to personal jurisdiction there, except that either party may bring a qualifying claim in small-claims court, and Folio may seek injunctive or other equitable relief in any court of competent jurisdiction for actual or threatened infringement or misuse of the Service, the data, our intellectual property, or our security measures. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims may be brought only in each party’s individual capacity.

16. Time limit on claims

ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE IT IS PERMANENTLY BARRED, TO THE EXTENT PERMITTED BY LAW.

17. Export controls & sanctions

You may not use the Service if you are located in, or are a resident or national of, any country or region subject to comprehensive US sanctions, or if you are listed on any US government restricted-party list. You agree to comply with all applicable US export-control and sanctions laws in connection with your use of the Service.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will provide reasonable advance notice — by email to your account address, a notice on the website, or both — before the changes take effect. Changes will not apply retroactively. Your continued use of the Service after the effective date of an updated version constitutes acceptance; if you do not agree to the updated Terms, your sole remedy is to stop using the Service and cancel your subscription before they take effect.

19. General

If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in effect. These Terms are the entire agreement between you and Folio regarding the Service and supersede all prior understandings. There are no third-party beneficiaries to these Terms. Our failure to enforce a provision is not a waiver; waivers must be in writing. You may not assign these Terms without our prior written consent, and any attempted assignment in violation of this sentence is void; we may assign freely. We may provide notices to you by email to your account address or by posting on the website, and notice is effective when sent or posted. Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, or utility, internet, or third-party-data-source failures (provided this does not excuse your payment obligations).
